Our client, an international business law firm, is seeking to recruit an M&A associate to strengthen its Montréal team.

The firm advises a leading corporate, institutional and entrepreneurial clientele on strategic transactions, both domestic and international. This opportunity is intended for a professional who wishes to work on complex deals within a structured, collaborative platform focused on excellence.

The Role

As an Mergers and Acquisitions lawyer, you will actively participate in all stages of major transactional matters, including acquisitions, business sales, strategic investments and corporate reorganizations.

The role offers direct exposure to high-impact mandates involving significant financial and commercial considerations.

Responsibilities

• Participate in mergers and acquisitions involving private and public companies
• Work on acquisitions and divestitures structured as asset or share deals
• Contribute to the legal structuring of complex transactional operations
• Draft, review and negotiate a broad range of transaction documents
• Conduct corporate and commercial due diligence
• Prepare shareholders’ agreements, investment agreements and governance documents
• Collaborate with multidisciplinary teams (tax, financing, litigation, etc.)
• Monitor file progress and coordinate the various transactional stages
• Maintain direct contact with clients and external stakeholders
• Contribute to the development of legal and commercial strategies related to transactions

Requirements

• Member in good standing of the Québec Bar
• 3 to 5 years of relevant experience in mergers and acquisitions or transactional business law
• Experience gained in private practice, ideally within a high-level practice
• Excellent legal drafting and analytical skills
• Strong understanding of corporate and commercial issues
• Ability to thrive in a demanding, fast-paced environment
• Autonomy, rigor and strong prioritization skills
• Strong communication and client relationship skills
• Team-oriented with sound professional judgment
• Bilingual (French/English)
