A prestigious business law firm is seeking a Corporate Paralegal to join its Montreal office. The firm advises Canadian and international corporations, financial institutions, investment funds and entrepreneurs on strategic transactions and complex corporate matters.

The Role
As a Corporate Paralegal, you will play an active role in managing transactional files and maintaining clients’ corporate records. You will be responsible for preparing corporate documentation
You will primarily support the Montreal office while occasionally collaborating with professionals from other offices on national transactions.
Responsibilities
- Prepare, organize and maintain corporate records and minute books
- Draft resolutions, registers, by-laws, capital structures and other corporate documents
- Participate in incorporations, mergers, acquisitions, reorganizations, financings, continuances and dissolutions
- Prepare and coordinate closing documentation and closing agendas
- Participate in due diligence reviews and corporate registry searches
- Complete regulatory filings with the Quebec Enterprise Registrar, Corporations Canada and other government authorities
- Liaise with clients, notaries, government authorities and external service providers
- Collaborate closely with lawyers and fellow paralegals on complex transactions
- Manage multiple files and deadlines in a fast-paced environment
Requirements
- Diploma in Paralegal Technology or equivalent education
- 4 to 5 years of relevant corporate law experience
- Experience gained in a law firm or comparable professional environment
- Strong knowledge of the Canada Business Corporations Act, the Business Corporations Act (Quebec) and the Act Respecting the Legal Publicity of Enterprises
- Excellent knowledge of corporate records and transactional processes
- Proficiency with Microsoft Office and corporate database software
- Excellent organizational and time-management skills
- Professional judgment, rigor and attention to detail
- Proactive mindset and client-focused approach
- Fully bilingual in French and English, both spoken and written
